Question.

Are there other liabilities under incorporation statutes?

Answer.

Section 91 of the provincial Companies Act provides that .... "the directors of a company are jointly and severally liable to the clerks, labourers, servants and apprentices thereof for all debts, not exceeding 6 months' wages, due for services performed for the company during the period while the directors were acting as directors. The statute then sets out the conditions when this liability applies. The federal act applicable to non-profit organizations, the Canada Corporations Act has a similar section, section 99. But there is no similar provision in the Societies Act.
